SAN FRANCISCO. DoorDash, a local enterprise that delivers prepared meals to primates who prefer not to stand up, has agreed to acquire Instacart, a rival that delivers unprepared meals, for approximately $17 billion. The deal merges the two largest workforces of humans paid to walk through supermarkets on behalf of other humans under a single headquarters. The groceries themselves will not be informed.

Instacart shareholders are offered $65 per share, a premium of about 26% over the closing price on October 22, the last session before deal talks were reported. At least 75% of the consideration will be cash. The market had valued the avoidance of grocery stores at roughly $13.5 billion; DoorDash judged urgency worth approximately $3.5 billion more, payable so that no rival could purchase the absence first. The cash will move through institutions the locals call banks, which are licensed to store numbers.

This desk measures the distance between briefing and event. The briefing declares DoorDash is expanding "deeper into grocery." The event is the purchase of a company whose defining feature is that its customers are, by design, somewhere else. The statement precedes the shelf by $3.5 billion.

"Competition in this sector remains vigorous," said Alan Prendergast, Senior Fellow at the Consumer Mobility Institute, an organization funded by delivery platforms. "Nothing in this transaction prevents a household from entering a store, selecting its own items, and carrying them home. That option continues to cost nothing." Dana Kirkwood, Vice President of Household Logistics at DoorDash, confirmed the store remains available. "We were never in the food business," she said. "We are in the sofa business. Our product is the hour the customer would otherwise have surrendered to a shopping cart. The groceries are how we invoice it."

The deal faces regulatory scrutiny over further consolidation. The review will establish how much of the market for not going to the market one entity may lawfully hold. The dominant primate of each corporate troop has endorsed the exchange of numbers.

Filed as measured: item, grocery access; units of groceries acquired, zero; consideration, $17,000,000,000; free alternative, unchanged.
